If you do not agree to all of the terms and conditions contained herein, you may not access or use the Service. PatchFlow AI ("Company," "we," "us," or "our") reserves the right to modify these Terms at any time. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. We will notify you of material changes by updating the date at the top of this page and, where appropriate, by email.
2. Use License and Restrictions
We grant you a limited, non-exclusive, revocable, and non-transferable license to use the Service subject to these Terms. You agree to use the Service only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. Except as expressly permitted in these Terms, you may not reproduce, distribute, transmit, create derivative works of, or otherwise exploit any content without our prior written consent. Any unauthorized use of trademarks, logos, or proprietary information is prohibited.
4. User Accounts and Credentials
When you create an account on the Service, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and password and for all activities that occur under your account. Failure to protect confidential information may result in legal action and termination of your account.
7. Payment Terms and Billing
If you purchase a paid subscription to the Service, you agree to pay all fees and charges according to the pricing plan you select. Fees are exclusive of all taxes, which shall be added to your invoice. We bill you monthly or annually depending on your chosen plan. All payments must be made in advance using a valid payment method. If a payment is not received or cannot be collected, we reserve the right to suspend or terminate your account. Refunds are generally not available, except as required by law. For disputes regarding billing, contact us within 30 days of the disputed charge.
8. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PATCHFLOW AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE EXTENT PERMITTED BY LAW, PATCHFLOW AI DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PATCHFLOW AI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO PATCHFLOW AI IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless PatchFlow AI and its officers, directors, employees, agents, and successors from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your violation of these Terms or any applicable law; your infringement of any third-party rights; or any content you submit to the Service. This indemnification obligation shall not apply to claims arising solely from PatchFlow AI's gross negligence or willful misconduct.
11. Termination
PatchFlow AI may terminate your access to the Service at any time for any reason, with or without cause and with or without notice. In the event of termination, your right to use the Service immediately ceases. Upon termination, you remain liable for all outstanding charges and fees. Sections of these Terms that by their nature should survive termination (including but not limited to provisions regarding intellectual property, indemnification, and limitation of liability) shall continue in effect after termination.
12. General Provisions
These Terms, along with our Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and PatchFlow AI regarding the Service and supersede all prior negotiations, representations, and agreements. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect. You may not assign these Terms without our prior written consent. Any attempt to assign in violation of this provision shall be void. These Terms are governed by the laws of the State of California, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in San Francisco, California.
